What counts as a UBO

A practical filing checklist

  • Identify every natural person meeting the UBO threshold, tracing through intermediate holding entities where relevant.
  • Maintain a current UBO register at the company's registered address, updated whenever ownership changes.
  • File and update UBO declarations with the relevant licensing authority within the required timeframe.
  • Keep supporting documentation, passports, shareholding certificates, on file and ready for inspection.
  • Review the register annually even if no ownership change has occurred, authorities may ask when it was last verified.
